These Affiliate Program Terms & Conditions (“Terms”) govern your participation in the Flux Render Affiliate Program (“Program”) operated by Flux Render (“Flux Render”, “we”, “us”, or “our”).

By applying to, joining, or participating in the Program, you (“Affiliate”, “you”, or “your”) agree to these Terms.

1. Eligibility

1. You must be at least 18 years old and legally capable of entering into an agreement to participate in the Program.

2. Individuals, creators, freelancers, studios, agencies, educators, communities, websites, and businesses may apply to the Program.

3. Participation is subject to approval by Flux Render. We reserve the right to approve or reject any application at our discretion.

4. You must provide accurate, complete, and up-to-date information when applying for the Program and when receiving payments.

5. Flux Render may suspend or terminate an Affiliate account if we determine that the Affiliate has violated these Terms or engaged in fraudulent, misleading, abusive, or unlawful activity.

2. Independent Relationship

1. Affiliates participate in the Program as independent partners.

2. Nothing in these Terms creates an employment relationship, agency, partnership, joint venture, franchise, or other legal relationship between the Affiliate and Flux Render.

3. Affiliates are not authorized to make commitments, representations, warranties, guarantees, or contractual agreements on behalf of Flux Render.

4. Affiliates must not represent themselves as employees, agents, or official representatives of Flux Render unless expressly authorized in writing.

3. Affiliate Links and Attribution

1. Flux Render may provide Affiliates with a unique referral link, referral code, or other tracking mechanism (“Affiliate Link”).

2. A referral is eligible for commission when a customer makes a qualifying purchase that can be attributed to the Affiliate through Flux Render’s tracking system.

3. Flux Render uses a 90-day last-touch attribution window for Affiliate Links.

4. The last valid Affiliate referral recorded by Flux Render establishes the Affiliate attribution for that customer for 90 days.

5. If the same customer subsequently clicks or uses another Affiliate's link during this 90-day period, the subsequent Affiliate referral will replace or override the original Affiliate attribution.

6. If the customer completes an eligible purchase within the applicable 90-day attribution period, the commission will be credited to the Affiliate associated with the last valid referral.

7. Only one Affiliate may receive a commission for a particular customer transaction. Commissions will not be split between multiple Affiliates unless Flux Render expressly agrees otherwise in writing.

8. Flux Render's tracking and transaction records will be used to determine referral attribution and commission eligibility.

9. Flux Render cannot guarantee tracking where attribution is prevented by browser restrictions, deleted cookies, ad blockers, incorrect links, technical failures, or other circumstances outside our reasonable control.

10. Affiliates must not intentionally interfere with, overwrite, manipulate, or attempt to claim another Affiliate's existing referral attribution through deceptive links, cookie manipulation, tracking manipulation, or other methods.

11. If Flux Render cannot reliably determine the source of a referral due to missing, conflicting, or unavailable tracking information, Flux Render will make the final determination based on the information reasonably available to it.

4. Commission

1. Affiliates will earn the commission rate specified in the Affiliate Program, Affiliate Dashboard, or other official communication from Flux Render.

2. Unless otherwise stated, the applicable commission rate is 15% of eligible revenue generated by qualifying referred customers for the first 12 months following the customer's initial qualifying purchase.

3. Commission is calculated on eligible revenue actually received by Flux Render.

4. Taxes, GST, duties, refunds, chargebacks, payment processing reversals, and other amounts that are not retained by Flux Render are excluded from commission calculations.

5. A commission becomes eligible for payout only after the related transaction has passed Flux Render's applicable validation, refund, cancellation, fraud, and chargeback checks.

6. The standard affiliate commission of 15% is applicable based on the prices publicly listed on the Flux Render website. The applicable commission rate may vary at the sole discretion of Flux Render depending on the pricing, discount, promotion, or commercial terms offered to the customer.

7. Flux Render may change future commission rates or promotional incentives by providing reasonable notice. Changes will not normally affect commissions that were already validly earned before the effective date of the change.

5. Qualifying Transactions

A transaction may qualify for an Affiliate commission when:

• the customer is a new Flux Render customer;

• the customer is properly attributed to the Affiliate through the Affiliate Link or approved referral mechanism;

• the customer completes an eligible purchase;

• Flux Render successfully receives the payment; and

• the transaction is not subsequently refunded, cancelled, charged back, or identified as fraudulent or abusive.

Flux Render may determine that a transaction is not eligible for commission where attribution or eligibility cannot be reasonably verified.

6. Self-Referrals and Related Transactions

1. Affiliates may not use their own Affiliate Link or referral code to purchase Flux Render for themselves for the purpose of earning a commission.

2. Affiliates may not create or control multiple accounts for the purpose of generating commissions.

3. Affiliates may not arrange artificial transactions with friends, employees, companies, or other parties for the purpose of generating commissions without genuine customer intent.

4. Affiliates may not intentionally attempt to claim customers already attributed to another Affiliate.

5. Flux Render may cancel commissions associated with self-referrals, artificial transactions, attribution manipulation, or other transactions that violate these Terms.

7. Refunds, Cancellations and Chargebacks

1. If a transaction generating an Affiliate commission is refunded, cancelled, disputed, charged back, or determined to be fraudulent, Flux Render may reverse the corresponding commission.

2. If the commission has already been paid, Flux Render may deduct the amount from future commissions or recover the amount where legally permitted.

3. Flux Render may temporarily hold commissions while a transaction is subject to a refund, cancellation, fraud, or chargeback review.

8. Payouts

1. Affiliates must have a minimum accumulated commission balance of US$10 to become eligible for a payout.

2. Commissions below US$10 will be carried forward until the Affiliate reaches the minimum payout threshold.

3. Once eligible commissions have been earned and become payable, Flux Render will process the payout within 30–45 days.

4. The 30–45 day processing period allows Flux Render to validate transactions, account for refunds and chargebacks, and complete applicable payment procedures.

5. Affiliates must provide accurate and complete payment information required to receive payouts.

6. Flux Render is not responsible for delays caused by incorrect, incomplete, or outdated payment information provided by the Affiliate.

7. Payments may be subject to applicable taxes, withholding requirements, payment fees, or other statutory deductions.

8. Flux Render may withhold or delay payment where there is a reasonable concern regarding fraud, abuse, invalid referrals, violations of these Terms, or unresolved payment disputes.

9. Promotional Activities

Affiliates may promote Flux Render through legitimate channels, including:

• Websites and blogs

• YouTube and other video platforms

• Social media

• Newsletters

• Online communities

• Educational content

• Courses and tutorials

• Professional networks

• Direct recommendations

All promotional content must:

1. Be truthful, accurate, and not misleading.

2. Clearly describe Flux Render's products, services, pricing, and capabilities.

3. Not make claims that have not been authorized or supported by Flux Render.

4. Comply with applicable advertising, consumer protection, privacy, and marketing laws.

5. Clearly disclose the Affiliate's financial relationship with Flux Render wherever such disclosure is required.

For example:

“This is an affiliate link. I may earn a commission if you purchase through this link.”

Affiliates are responsible for ensuring that their disclosures comply with the laws and regulations applicable to their audience and location.

10. Prohibited Promotional Activities

Affiliates must not:

1. Make false, misleading, deceptive, or exaggerated claims about Flux Render.

2. Make guarantees regarding rendering speed, savings, performance, availability, pricing, or results unless those claims have been officially provided by Flux Render.

3. Misrepresent themselves as Flux Render employees or official representatives.

4. Create fake Flux Render websites, social-media accounts, support accounts, or other properties.

5. Use Flux Render's branding in a way that could confuse customers about whether a website, account, promotion, or service is officially operated by Flux Render.

6. Use spam, unsolicited bulk messaging, malware, bots, deceptive traffic, or other abusive methods to generate referrals.

7. Generate artificial clicks, registrations, purchases, or other referral activity.

8. Use fraudulent, stolen, or misleading customer information.

9. Promote Flux Render through illegal, deceptive, discriminatory, or harmful content.

10. Offer unauthorized discounts, cashback, refunds, credits, or incentives that have not been approved by Flux Render.

11. Engage in any activity that may materially damage the reputation of Flux Render, its customers, or its partners.

12. Use tracking, cookie stuffing, forced clicks, redirects, or other technical methods designed to artificially create or overwrite Affiliate attribution.

11. Paid Advertising

1. Affiliates must obtain prior written approval from Flux Render before running paid advertising campaigns using Flux Render's brand name, trademarks, or branded search terms.

2. Affiliates may not bid on Flux Render's branded keywords in search advertising without written authorization.

3. Affiliates may not create advertisements that could reasonably be mistaken for official Flux Render advertisements.

4. Flux Render may require an Affiliate to modify or discontinue any advertisement or campaign that violates these Terms or Flux Render's brand guidelines.

12. Brand and Intellectual Property

1. Flux Render grants Affiliates a limited, non-exclusive, non-transferable, revocable license to use approved Flux Render logos, product images, promotional materials, and other brand assets solely for promoting Flux Render through the Program.

2. Affiliates may not modify Flux Render trademarks or create branding that could cause confusion with Flux Render.

3. Affiliates may not register domain names, social-media handles, trademarks, or other identifiers containing Flux Render's trademarks without prior written authorization.

4. All Flux Render trademarks, logos, software, content, and intellectual property remain the property of Flux Render or their respective owners.

5. Participation in the Program does not transfer any ownership rights in Flux Render's intellectual property to the Affiliate.

13. Customer Relationship

1. Customers referred through the Affiliate Program become customers of Flux Render.

2. Flux Render retains the right to communicate directly with referred customers regarding their accounts, purchases, billing, support, product updates, security, and other legitimate business matters.

3. Affiliates must not make commitments regarding customer accounts, refunds, credits, technical support, pricing, or other matters on behalf of Flux Render unless specifically authorized.

14. Confidentiality

1. Affiliates may receive confidential or non-public information relating to Flux Render, including commission structures, promotional campaigns, product information, customer information, business information, and other confidential materials.

2. Affiliates must not disclose or misuse confidential information without authorization from Flux Render.

3. This obligation continues after termination of participation in the Program to the extent permitted by applicable law.

15. Privacy and Data Protection

1. Affiliates must comply with all applicable privacy and data-protection laws when collecting, storing, processing, or transferring personal information.

2. Affiliates must not provide Flux Render with personal information that they do not have the legal right or appropriate authorization to share.

3. Affiliates must maintain reasonable security measures when handling personal information collected in connection with their promotional activities.

16. Monitoring and Compliance

1. Flux Render may monitor Affiliate activity, referral traffic, promotional content, traffic sources, transactions, and other Program activity to verify compliance with these Terms.

2. Flux Render may request information or evidence regarding traffic sources, promotional methods, or referred transactions where reasonably necessary.

3. Affiliates agree to cooperate with reasonable compliance investigations relating to suspected fraud, abuse, or violations of these Terms.

17. Suspension and Termination

1. Either the Affiliate or Flux Render may terminate participation in the Program at any time.

2. Flux Render may immediately suspend or terminate an Affiliate account if it reasonably believes that the Affiliate:

   • violated these Terms;

   • engaged in fraud or abuse;

   • generated invalid or fraudulent referrals;

   • used misleading or deceptive advertising;

   • violated applicable law;

   • misused Flux Render's intellectual property;

   • provided inaccurate information;

   • manipulated referral attribution; or

   • engaged in activity that may materially harm Flux Render, its customers, or its partners.

3. Upon termination, the Affiliate must immediately stop using Affiliate Links and Flux Render promotional materials and must discontinue unauthorized use of Flux Render's trademarks.

4. Subject to these Terms, valid commissions earned before termination may be paid after the applicable validation period.

5. Flux Render may withhold commissions that are reasonably suspected to have resulted from fraudulent, abusive, or prohibited activity.

18. Changes to the Program

1. Flux Render may modify, suspend, or discontinue the Program at any time.

2. Flux Render may modify commission rates, attribution rules, payout requirements, eligibility requirements, promotional requirements, or other Program terms.

3. Material changes may be communicated through email, the Affiliate Dashboard, the Flux Render website, or another reasonable communication method.

4. Continued participation in the Program after the effective date of updated Terms constitutes acceptance of the updated Terms.

19. No Guarantee of Earnings

1. Participation in the Program does not guarantee any particular level of traffic, customers, revenue, or commissions.

2. Affiliate earnings depend on various factors, including audience size, audience relevance, promotional activity, customer demand, customer purchasing behavior, and other market conditions.

3. Flux Render makes no representation that an Affiliate will earn any specific amount from participation in the Program.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Flux Render will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from or related to participation in the Affiliate Program.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

21. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Affiliate Program shall be subject to the jurisdiction of the courts having appropriate jurisdiction over Flux Render's registered office, unless otherwise required by applicable law.

22. Entire Agreement

These Terms, together with any applicable Program information, Affiliate Dashboard terms, commission information, and written agreements between Flux Render and the Affiliate, constitute the agreement governing participation in the Program.

If there is a conflict between these Terms and a specific written agreement signed between Flux Render and an Affiliate, the specific written agreement will prevail to the extent of the conflict.

23. Acceptance of Terms

By submitting an application, checking an acceptance box, accessing the Affiliate Dashboard, using an Affiliate Link, or otherwise participating in the Flux Render Affiliate Program, you acknowledge that you have read, understood, and agreed to these Terms.
